These Terms of Use constitute an agreement between the individual registered user (“User” or “you”) and Self Care Catalysts Inc. (“SCC”), the operator of Health Storylines (the “Platform”), and governs your use of the Platform as a registered user (the “Agreement” or “Terms of Use”). If you do not agree to these Terms of Use, please exit this website and cease all use of the Platform. User Eligibility

To become a User to access and use the Platform, you must be one of the following: (a) a person 18 and over who is using the Platform to manage or track a health issue or a parent or legal guardian acting for a person under 18 or a person who is incapacitated and unable to use the Platform, (b) a caregiver for an eligible User, (c) a health care professional (e.g., doctor, nurse or case manager), or (d) a guest authorized by an SCC employee. By registering as a User, you represent that you are age 18 or older. Further, to ensure that SCC complies with the U.S. Children’s Online Privacy Protection Act and other applicable laws and for the avoidance of any doubt, children under the age of 13 are prohibited from registering as Users in any capacity. Registration and Access/Use

To access and use the Platform, you will need your own computer and high-speed Internet access. To register, you will need a user name, email address and password (collectively, the “Registration Information”). You are responsible for maintaining the confidentiality and security of your Registration Information and for any and all activity that occurs under your account. You agree to notify SCC of any unauthorized use or breach of your account.

You acknowledge and agree that SCC may collect, use, process and store information about you and your use of the Platform, primarily including the information that you submit to the Platform. All such information will be processed, stored and handled by SCC in accordance with applicable Canadian and U.S. laws and SCC’s then-current Privacy Policy located at www.selfcarecatalysts.com/page/hs-privacy.

Once you register as a User, SCC may send notices to you by email at the then-current email address provided in your Registration Information. For Canadian Users: You hereby provide SCC with express consent to receive email notices from SCC. In accordance with the Canadian Anti-Spam Law (CASL), you can withdraw your consent at any time and all email communications will have an unsubscribe option. The Platform Does Not Provide Medical Advice

All the information and material provided via the Platform, including content, survey questions, images and SCC policies, are for informational purposes only and are not intended to serve as, do not constitute and are not a substitute for professional medical advice or treatment. SCC does not recommend or endorse any specific tests, physicians, products, procedures, opinions or other information that you may find on or through the Platform.

Always seek the advice of your physician or other qualified health provider with any questions you may have regarding your health and/or your particular situation. Never disregard professional medical advice or delay seeking advice because of something you have read on or learned via this Platform. SCC is not liable for injury, death or any other damages arising out of your use of the Platform. SCC has not sought or received any regulatory approval from any government agency for the Platform.

If you have or think you have a medical emergency, call your doctor or Emergency Services immediately. If you are currently suffering from a side effect or adverse reaction, you should immediately contact your health care provider, your local health authority or, in Canada, the Canadian Association of Poison Control Centres and, in the United States, the U.S. Food and Drug Administration’s (“FDA”) MedWatch. This Platform serves solely to facilitate the exchange of information and the management of activities related to health and daily living. This Platform does not constitute the practice of medicine in any way. Reliance on any information provided by SCC, persons using or appearing on the Platform at the invitation of SCC or other Users is solely at your own risk. Acceptable and Lawful Use of Platform by Users

You are responsible for the content of all visual, written or audible information provided by you and any other material (“Content”) stored, displayed or used in connection with your account. You agree not to upload, post, email, transmit or otherwise make available any Content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, invasive of another’s privacy, hateful, or racially, ethnically or otherwise deemed objectionable by SCC. You will not upload, post, email, or transmit or otherwise make available any unsolicited or unauthorized advertising, promotional materials, “junk mail,” “spam,” “chain letter,” “pyramid schemes,” “affiliate links” or any other form of solicitation. You will not upload, post, email, transmit or otherwise make available any Content that violates copyright, trademark or other laws protecting intellectual property or that violates an individual’s publicity or privacy rights. You will not upload, download, transmit or otherwise make available any code or material that harms or interferes with any device, software, network or service. You will not violate any laws or regulations in your state or country (including laws governing intellectual property rights, online conduct or online content) in connection with your use of the Platform and will comply with all applicable laws and regulations governing your use thereof. You represent that (i) your Registration Information and any other information that you provide via the Platform is true, accurate and not misleading and (ii) you have all rights, licenses and permissions from third parties to use, reproduce, publish and display Content belonging to others. You automatically grant SCC a worldwide, royalty-free, perpetual and irrevocable license to use the Content solely to provide you with access to and use of the Platform. If you object to any Content on the Platform, your sole remedy is to cease using this website. SCC has no control over, and is not responsible for, the privacy of any Content that you have shared with others so always use caution when giving out any personally identifiable or sensitive information. Privacy and Use of Data

You agree that you have read, understood and accept SCC’s Privacy Policy located at www.selfcarecatalysts.com/page/hs-privacy, which policy explains SCC’s collection of personal and non-personal information from you via the Platform, SCC’s use of and sharing of such information and the limitations on such use by SCC. You will provide personal information to access and use the Platform, including information about your health status. Digital Millennium Copyright Act

If you are a copyright owner or an agent thereof and believe that any Content on the Platform infringes on your copyright, you may submit a written notification pursuant to the Digital Millennium Copyright Act (“DMCA”) (see 17 U.S.C. 512(c)(3) for further information) by providing our Copyright Agent (listed below) with the following information: (i) an electronic or physical signature of a person authorized to act on behalf of the owner of an exclusive right that is allegedly infringed; (ii) a description of the copyrighted work claimed to have been infringed or if multiple copyrighted works are covered by a notification, a representative list of such works at our Platform; (iii) a description of the location on the Platform of the allegedly infringing material(s); (iv) your address, telephone number, and email address; (v) a written statement that you have a good faith belief that use of the material(s) in the manner complained of is not authorized by the copyright owner, its agent or the law; and (vi) a written statement that the information in the notification is accurate, and under penalty of perjury, that you are authorized to act on behalf of the owner of an exclusive right that is allegedly infringed. The Platform may contain links to other websites that are not under the control of the Platform and/or or SCC. The inclusion of any link does not imply endorsement by SCC of such site and SCC is not responsible for the content of such linked sites. Termination

SCC may, with or without cause, immediately suspend or terminate your access to the Platform without prior notice. Without limiting the foregoing, the following may lead to SCC’s termination of a User’s use of the Platform: (a) a violation of this Agreement or other policies incorporated herein, (b) requests by law enforcement or other government agencies, (c) a request by you (self-initiated cancellation), (d) unexpected technical issues or problems, and (e) extended periods of inactivity. SCC has no obligation to monitor your use of the Platform but may do so to comply with any judicial or governmental order. On termination, SCC will deactivate and/or delete your account and all data, information or other Content thereon and bar any further access by you or any third party. SCC has no obligation to maintain, store or transfer to you any Content that you have posted on or uploaded to the Platform. Fees

Your use of the Platform is currently free. SCC reserves the right to change the terms of this Agreement at any time and from time to time, including to charge Users for use of the Platform and/or to provide additional optional services for a fee. Disclaimer of Warranties

To the maximum extent permitted by applicable law, you use the Platform at your own risk. SCC and its suppliers, resellers, partners and affiliates will not be responsible for any harm to any device, any loss of data or any other harm that results from your use of the Platform. NEITHER SCC NOR ANY OF ITS SUPPLIERS, RESELLERS, PARTNERS AND AFFILIATES GUARANTEE THAT YOUR USE OF THE PLATFORM WILL BE UNINTERRUPTED OR ERROR-FREE. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE” FOR YOUR USE WITHOUT WARRANTIES OR CONDITIONS, EITHER EXPRESS, IMPLIED OR STATUTORY. NEITHER SCC NOR ANY OF ITS SUPPLIERS, RESELLERS, PARTNERS AND AFFILIATES MAKE ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, SATISFACTORY QUALITY, QUIET ENJOYMENT OR NONINFRINGEMENT. THE LAWS OF CERTAIN STATES AND JURISDICTIONS DO NOT ALLOW THE DISCLAIMER OF IMPLIED WARRANTIES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE DISCLAIMERS MAY NOT APPLY TO YOU, AND YOU MIGHT HAVE ADDITIONAL RIGHTS THAT VARY FROM PROVINCE TO PROVINCE, STATE TO STATE OR JURISDICTION TO JURISDICTION. The advice, recommendations, information and conclusions posted by other Users of the Platform are not in any way vetted, approved or endorsed by SCC, and you use any and all such advice or other information at your own risk.

SCC will not be responsible for any failure of performance due to causes beyond its control, i.e., acts of God, acts of terrorism, denial of service attacks or unauthorized network intrusions or the stability or availability of the Internet.

Limitation of Liability

NEITHER SCC NOR ANY OF ITS SUPPLIERS, RESELLERS, PARTNERS AND AFFILIATES WILL BE LIABLE TO YOU OR ANY OTHERS FOR ANY CONSEQUENTIAL, SPECIAL OR PUNITIVE DAMAGES EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE AGGREGATE LIABILITY OF SCC AND ITS SUPPLIERS, RESELLERS, PARTNERS AND AFFILIATES TO YOU FOR ANY CLAIM HEREUNDER WILL BE LIMITED TO CAN$ 1000.00. THE LAWS OF CERTAIN PROVINCES, STATES AND JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL DAMAGES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE EXCLUSIONS AND LIMITATIONS MAY NOT APPLY TO YOU, AND YOU MIGHT HAVE ADDITIONAL RIGHTS THAT VARY FROM PROVINCE TO PROVINCE, STATE TO STATE OR JURISDICTION TO JURISDICTION.

Indemnification

Further to the foregoing, SCC will not be liable to you or any others for any loss or damages due to your use of the Platform. You will indemnify, defend and hold SCC harmless from and against any and all third party claims, liability and damages (including attorneys’ fees incurred by SCC with respect to any such third party claim) arising from your violation of this Agreement. International Users

The Platform may not be available in all countries or in any particular location. SCC makes no claims that Platform Content is appropriate or may be downloaded outside of the United States and Canada. Registration Information and any other personal information submitted to the Platform by any User will be collected, processed, stored, disclosed and disposed of in accordance with all applicable U.S. and Canadian laws and our Privacy Policy, located at www.selfcarecatalysts.com/hs-privacy. If you are a non-U.S. or non-Canadian user, you acknowledge and agree that SCC may collect and use your information and disclose it to other entities outside your resident jurisdiction. In addition, such information may be stored on servers located outside your resident jurisdiction. By providing us with your Information, you consent to the transfer of your information outside your resident jurisdiction as detailed in our Privacy Policy. If you do not consent to such transfer, you should cease all use of this Platform. Miscellaneous Terms

Health Storylines™ and the Health Storylines logo are trademarks of SCC. You may not reproduce, display, modify and/or use these trademarks or tradenames in any manner without SCC’s prior written permission. SCC may assign this Agreement at any time to an affiliate or to a successor to its business or the operations related to this Agreement, including through a merger or sale of substantially all of its assets. You may not assign or transfer this Agreement. This Agreement will be governed by the laws of the Province of Ontario and applicable Canadian federal law and any claims hereunder will be brought exclusively in the courts located in the Province of Ontario. You hereby waive any objections to the exercise by any such courts of jurisdiction over you with respect to SCC and this Agreement. This Agreement, together with the Privacy Policy, constitute the entire agreement between SCC and you concerning the Platform and your use thereof. If any provision of this Agreement is held to be unenforceable for any reason, the remaining provisions will be unaffected and remain in full force and effect. We reserve the right to modify this Agreement at any time and without prior notice by posting amended Terms of Use on the Platform. We encourage you to review this Agreement periodically for any updates or changes, which will have an update effective date.

Cookies; Do Not Track

A “cookie” is a small text file placed on your hard disk by an SCC Web server, containing information that can later be read only by that Web server. SCC uses cookies solely to enable you to sign in to the Platform and display your personalized content. You have the ability to accept or decline any cookie and, if you accept any cookie, you also have the ability to later delete that cookie. However, if you delete SCC’s cookie, any settings controlled by that cookie will be deleted and may need to be recreated each time that you access the Platform.

Some Web browsers offer a “Do Not Track” (“DNT”) signal, which is an HTTP header field indicating the User’s preference regarding tracking or cross-site user tracking. Because there is not yet a common understanding of how to interpret DNT signals, SCC does not currently respond to DNT signals, if any, that SCC may receive from any browsers. SCC takes privacy and meaningful choice seriously and will make efforts to continue to monitor developments around DNT browser technology.
